Yes with the complex structure of holding companies and the like its hard to know which one has overall control, and does it matter against which company is the debt secured? Also I am sure that RBS would have had to understand all of this for them to offer finance/refinance, so its safe to assume that same knowledge would have been used to ensure any changes made would stand upto legal scrutiny. After all RBS need to protect there investment so it would be part of there due dilligence imo.
